Extract from the Charter of Welfare Fund "Nadezhda"

General provizions

Welfare fund "Nadezhda" is the member charitable organization with own Charter, carries out the activity in territory of Donetsk region.

The fund is the legal person, agrees legislations of Ukraine, has separate property, settlement and other accounts in branches of banks, a seal with the name, symbolics and other essantial elements, can get on its own behalf property rights and perform duties, to be the claimant and respondent in court.

The purpose and tasks of fund

The purpose of fund - disinterested voluntary activity on rendering financial material, organizational and other charitable help needy, to invalids, other citizens requiring for to care, and also rendering assistance to persons who are in heavy position; assistance to spiritual revival of Donetsk region.

Tasks of fund:
- Assistance to practical realization of the nation-wide, regional, local and international programs directed on improvement of a social economic situation;

- Improvement of a financial position requiring for the charitable help, assistance of social rehabilitation needy, jobless, invalids, other persons for whom trusteeship is necessary, and also granting of the help to persons who because of physical of other lacks are limited in realization of the rights and legitimate interests;

- Assistance to development of a science and education, realization of scientific educational programs, rendering assistance to teachers, scientific, to students, pupils; educational activity;

- Assistance to development to culture, including realization of programs of national cultural development, access of all layers of the population especially needy, to cultural values and art creativity;

- Rendering assistance of talented creative youth;

- Assistance to development of health protection, mass physical training, sports and tourism, propagation of a healthy way of life, improving activity; participation in rendering medical aid to the population and realization of social supervision for patients, invalids, lonely, people of advanced age and other persons who by virtue of physical, material and other features demand social support and care;

- Assistance to protection of motherhood and the childhood, rendering assistance to having many children and needy families;

- The organization and carrying out of the mass actions directed on propagation of activity of fund with the purpose of search and formation of channels of receipt of the charitable help.

Right and duties of fund

With the purpose of realization of charities the fund has the right:

- Independently to solve questions on rendering of the charitable help requiring, to use the target donations given by philanthropists, and to realize programs according to conditions of these donations;

- Will be united in the unions, associations and other associations which are created on a voluntary basis and promote performance of tasks of the Charter;

- To organize gathering charitable donations and contributions from physical and legal persons, the foreign states and the international organization;

- Constantly to define forms, objects, subjects and the sizes of the charitable help;

- To establish mass media; the enterprises and the organizations; to be engaged to publishing; to popularize the name, symbolics.

Duties of fund:
To provide performance of problems (tasks) of the Charter, an casy approach to the report to documents on economic and financial activity Founders and workers of fund have no right to receive material advantages and additional means in connection with the position in this organization, except for what are stipulated by the legislation.

The order of creation and activity of controls by fund

The supreme body of management of fund is general meeting, which is convoked once a year. Members of fund are notified on assembly and the agenda not later than one-month prier to his opening.

Into the competence of general meeting enters:

- The statement of the charter of fund, entering into him of changes;

- Election and a response of members of Board and the President of fund;

- The statement of charitable programs, definition of the basic directions of activity of fund;

- Decision-making on reorganization and liquidation of fund;

- The decision of other questions stipulated by the given charter.

Agency of fund is the Board which quantitative structure is difined by general meeting of fund.

Board the President of fund who is selected from structure, heads founders of fund. The president of fund carries out the powers on the free-of-charge and voluntary beginnings.

To maintenance of the current activity of fund the administrative agency - Director is appointed.

Sources of financing and the order of use of property and means of fund.

In the property of fund can be and real estate, material and non- material actives, means, and also other property got on the lowful bases.

The charitable organization has the right to carry out any agreements, which do not contradict its authorized purposes and the legislation of Ukraine in relation to property and means, which are in its property.

The fund uses independence in questions of acceptance of economic decisions, definitions of conditions of a payment of workers of the device, use of own financial and material resources according to requirements of the legislation.

The size of charges of fund cannot exceed 20% of his estimate in the current year.
